1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of MotorStable (the "Service"), a vehicle fleet and maintenance management application provided by MotorStable LLC ("MotorStable LLC", "we," "us," or "our"). The Service is available in two modes: (a) a Personal mode for individuals managing their own vehicles, and (b) an Enterprise mode for organizations managing fleets of company vehicles across multiple users ("Enterprise Organization").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Accounts and Eligibility

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2.2 Account Registration

You must provide accurate, current, and complete information when creating an account and keep that information up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at support@motorstable.com if you suspect unauthorized use of your account.

2.3 Personal vs. Enterprise Accounts

  • Personal accounts are owned and controlled by the individual who registers them.
  • Enterprise accounts are created under an Enterprise Organization. Users invited into an Enterprise Organization are subject to the access levels, roles, and permissions configured by that organization's administrators, in addition to these Terms.

2.4 Organization Administrators

Enterprise Organizations may designate administrators with the ability to invite or remove users, assign roles, and access data entered by users within that organization, including vehicle, maintenance, and task data. By joining an Enterprise Organization, you consent to that level of administrator access to your account's organization-related data.

3. Description of the Service

MotorStable provides tools to help you track vehicles, maintenance schedules, insurance and registration information, tasks, and related notifications. Features may include vehicle records, maintenance scheduling, task assignment, role-based administration, and (for Enterprise Organizations) multi-user and multi-tenant management.

We may add, modify, or remove features at any time. The Service is a record-keeping and scheduling tool only — it does not perform vehicle inspections, verify mechanical condition, or guarantee compliance with any registration, insurance, or safety regulation. You remain solely responsible for the legal operation, maintenance, registration, and insurance of your vehicles.

4. Subscriptions, Fees, and Billing

4.1 Enterprise Subscriptions

Enterprise Organizations access certain features on a paid subscription basis, billed through the Service ("In-App Billing"). Applicable fees, billing frequency (e.g., monthly or annual), and included usage limits are presented at the time of purchase or upgrade and are incorporated into these Terms by reference.

4.2 Payment Authorization

By providing a payment method, you authorize us (or our third-party payment processor) to charge that payment method for all fees incurred, including recurring subscription charges until cancelled. You are responsible for keeping payment information current.

4.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may cancel at any time through account settings; cancellation takes effect at the end of the then-current billing period, and no partial-period refunds are provided except as required by law.

4.4 Price Changes

We may change subscription fees on prospective billing cycles with advance notice as required by law. Continued use of paid features after a price change takes effect constitutes acceptance of the new price.

4.5 Taxes

Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your purchase, other than taxes based on our net income.

4.6 Failed Payments

If a payment fails, we may suspend or downgrade access to paid features until payment is successfully processed.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation;
  • Upload or submit data you do not have the right to submit, including vehicle or personal data of others without authorization;
  • Attempt to gain unauthorized access to another user's or organization's account or data;
  • Interfere with, disrupt, or attempt to circumvent the security of the Service;
  • Reverse engineer, decompile, or attempt to extract source code from the Service, except where permitted by law;
  • Use automated means (bots, scrapers) to access the Service without our prior written consent;
  • Resell, sublicense, or provide the Service to third parties outside your organization without authorization.

6. Your Content and Data

6.1 Ownership

You retain ownership of the vehicle, maintenance, insurance, registration, and other data you or your organization submit to the Service ("Customer Data"). We claim no ownership over Customer Data.

6.2 License to Us

You grant us a limited, non-exclusive license to host, store, process, and display Customer Data solely as necessary to provide and improve the Service, and as otherwise described in our Privacy Policy.

6.3 Enterprise Data Ownership

For Enterprise Organizations, Customer Data entered by users in connection with the organization's fleet is owned and controlled by the Enterprise Organization, not the individual user, unless otherwise agreed in writing.

6.4 Accuracy

You are solely responsible for the accuracy of data you enter, including maintenance dates, insurance, and registration details. We do not verify this information and are not liable for consequences arising from inaccurate or outdated data.

7. Third-Party Services

The Service may integrate with or link to third-party services (for example, single sign-on providers or payment processors). We are not responsible for the practices or content of third-party services, and your use of them is governed by their own terms and privacy policies.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Term, Suspension, and Termination

9.1 Term

These Terms remain in effect for as long as you use the Service.

9.2 Termination by You

You may stop using the Service and close your account at any time. Enterprise Organizations may remove individual users or close the organization account through administrator controls.

9.3 Termination or Suspension by Us

We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, create risk or legal exposure for us, or if required by law. Where practicable, we will provide notice of the reason for suspension or termination.

9.4 Effect of Termination

Upon termination, your right to access the Service ends. We may retain or delete Customer Data following termination in accordance with our Privacy Policy and applicable law. Provisions that by their nature should survive termination (including payment obligations, disclaimers, and limitation of liability) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MAINTENANCE REMINDERS OR SCHEDULING FEATURES WILL PREVENT MECHANICAL FAILURE, ACCIDENTS, OR REGULATORY NON-COMPLIANCE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTORSTABLE LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless MotorStable LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Utah, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (such as an in-app notice or email) before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. General Provisions

Entire Agreement:
These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and us regarding the Service.
Severability:
If any provision is found unenforceable, the remaining provisions remain in full effect.
No Waiver:
Our failure to enforce any right or provision is not a waiver of that right.
Assignment:
You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure:
We are not liable for delays or failures due to causes beyond our reasonable control.
